SERVICE LEVEL AGREEMENT ​ For Implementation and Program Management of the Apprenticeship Act on National Apprenticeship Promotion Scheme (NAPS/NATS) ​

This Agreement (“Agreement”) is made and entered into at Hyderabad on this 24th Day of June 2025 ​

By and Between: SHANMUKHA AGRITEC LIMITED, incorporated in India and having its Registered office at 7-1-621/98, Opp. ​ Axis bank, S.R. ​ Nagar Main Road, Hyderabad, Telangana, 500038 India (hereinafter referred to as “Client”, which expression shall, unless excluded by or repugnant to the subject or context whereof shall be deemed to include its successors and permitted assigns), of the ONE PART; ​ AND ​ 2COMS Consulting Private Limited, a Company incorporated under the Indian Companies Act, 1956, and having its Registered office at 388, Block G, New Alipore, Kolkata 700053 and Corporate office at 8, Maulavi Mujibur Rehman Sarani, Beck Bagan, Kolkata 700017 (Hereinafter referred to as “The Program Manager”, which term shall include Affiliates of “The Program Manager” of the OTHER PART). ​

Both “Client” and “The Program Manager” are collectively referred to as “Parties”. ​

WHEREAS:

  1. “The Program Manager” will manage the deployment of the Apprenticeship Act and implement the National Apprentice Promotion Scheme (NAPS) and other schemes for the “Client”. ​
  2. The “Client” has agreed to avail the services of “The Program Manager” upon the terms and conditions set forth hereinafter. ​

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND AMONGST THE PARTIES HERETO AS FOLLOWS: ​

  1. Term and Termination of The Agreement: ​

This Agreement shall be effective from the date of signing and will remain valid until terminated. ​ Either party may terminate the Agreement by providing 30 days’ written notice issued by an Authorized Person. ​

  1. Scope of Services: ​

The detailed Scope of Services is defined in ANNEXURE-A. ​

  1. Obligations of “The Program Manager”:

3.1 Deploy trained personnel to perform services diligently. ​

3.2 Facilitate end-to-end registration and documentation for NAPS or other schemes. ​

3.3 Update apprentice details on portals timely. ​

3.4 Provide timely updates to the “Client” representative. ​

3.5 Liaise with Apprenticeship Project officials for smooth execution. ​

3.6 Validate candidates for eligibility criteria. ​

3.7 Educate candidates about employment terms. ​

3.8 Finalize assessment dates and document results. ​

3.9 Share exclusive Email ID and password for NAPS scheme with the “Client”. ​

  1. Obligations of “Client”:

4.1 Provide company details and documents as per guidelines. ​

4.2 Share job profile requirements for candidate selection. ​

4.3 Support interview and selection processes. ​

4.4 Furnish attendance and stipend payment proof for monthly claims. ​

4.5 Authorize “The Program Manager” to act on its behalf with relevant authorities. ​

4.6 Grant permission to use an exclusive Email ID for registration purposes. ​

 

  1. Service Charge and Payment Terms: ​

The “Client” shall pay “The Program Manager” as per the terms outlined in ANNEXURE-B. ​

  1. TDS Deduction: ​

TDS will be deducted under Section 194J at the current rate of 2%. ​ TDS certificates will be provided yearly. ​

  1. Apprentices’ Assessment Payout Clearance: ​

The “Client” shall ensure timely assessment and pay the nominal fee (Rs. ​ 300 to Rs. ​ 1200 per apprentice) to the respective SSC or assessment agency for National Level Certificate assessment. ​

  1. Counterparts:

8.1 This Agreement shall be executed in two counterparts, one for each Party. ​

8.2 This Agreement supersedes all prior agreements on this subject. ​

 

  1. Compliance Responsibility: ​

“The Program Manager” shall advise the “Client” on compliance updates, but implementation remains the “Client’s” sole responsibility. ​

  1. ​ Entire Agreement: ​

This Agreement, including Annexures, constitutes the entire agreement between the Parties. ​ Amendments must be in writing and signed by authorized representatives. ​

  1. No Poach: ​

Neither party shall solicit or hire employees of the other party during the term of this Agreement and for 1 year following its termination. ​ Breach of this clause entitles the non-breaching party to seek injunctive relief or monetary damages. ​
